Dear members,
Two important messages for you today.
- The Nominating Committee has been reconstituted to increase the number of directors on the Board to at least the minimum number stated in its Articles. Following the 2025 AGM, there were three incumbent directors and nine elected directors, totaling only twelve directors, the bare minimum required for a quorum under the Bylaws. At the Board meeting on 2026-01-29, the Board appointed three former directors, bringing the total number of directors to 15. Because the current Articles specify that the number of directors must be between 17 and 22, at least two directors must now be elected at a Special Meeting, called “without delay” as required by the Act (Section 132(2)) to bring the number of directors within the range specified in the Articles. These directors shall be elected for a full three-year term.
